Important — Binding Arbitration & Class Action Waiver

Section 13 of these Terms contains a binding arbitration clause and class action waiver. By using our Services, you agree to resolve disputes through individual arbitration rather than a jury trial or class action lawsuit. Please read Section 13 carefully before using our Services.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and TEPM, LLC ("Company," "we," "our," or "us") governing your access to and use of our web-based applications, including the Personal Finance Application and the Business/Project Management Application, and all related services, features, content, and functionality (collectively, the "Services").

BY ACCESSING OR USING THE SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE THE SERVICES.

2. Eligibility

You must be at least 18 years of age to use the Services. By agreeing to these Terms, you represent and warrant that you: (a) are at least 18 years of age; (b) have the legal capacity to enter into a binding contract; (c) are not barred from using the Services under any applicable law; and (d) will use the Services only in accordance with these Terms and all applicable laws and regulations.

3. Account Registration and Security

3.1 Account Creation

To access certain features of the Services, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your account credentials and for all activities that occur under your account.

3.2 Account Security

You agree to:

  • Immediately notify us of any unauthorized use of your account or any other breach of security
  • Ensure that you log out of your account at the end of each session
  • Not share your account credentials with any third party

We will not be liable for any loss or damage arising from your failure to comply with these security obligations.

4. Purchases, Access, and Payment

4.1 Product Access

Our web applications can be accessed from the TEPM-llc.com website under Web Applications. Once you click on the Web Application it will take you to a login page where you can create an account. It will then send you an email confirming your email address. Then once you click the verify email it will allow you to log on to the web application. Our web applications may be offered as free access with subscription upgrades, subscription only, one-time purchase, or on other terms as described within each application.

4.2 Subscriptions

Some of our web applications may require subscription-based access. Where a subscription is required, you will be charged on a recurring basis — monthly, yearly, or on such other billing cycle as described within the applicable application — at the subscription rate disclosed at the time of sign-up. By completing the sign-up process and providing your payment information, you authorize TEPM, LLC to charge your payment method on the applicable recurring basis, and you acknowledge that your subscription will automatically renew at the end of each billing period unless cancelled.

If you wish to discontinue your subscription, an “Unsubscribe” option is available within the application. Cancellation of a subscription will take effect immediately and the recurring charges will stop on the next billing cycle. No refunds or credits will be issued for any unused portion of a paid subscription period, except as required by applicable law.

4.3 One-Time Purchases

Where an application requires a one-time payment, you will be charged the stated price at the time of purchase. All fees are stated in U.S. dollars. Applicable taxes will be identified at checkout. There are no recurring charges unless we separately offer, and you separately enroll in, a subscription service — which will be clearly disclosed at that time.

4.4 Refund Policy for Digital Goods

Because our applications are delivered digitally and access is granted immediately upon purchase, all sales are final. We do not provide refunds once access to the application has been granted, unless required by applicable law. If you experience a technical issue that prevents access, please contact us at support@tepm-llc.com and we will work to resolve it promptly.

4.5 Pricing Changes

We reserve the right to change our pricing at any time with reasonable notice. Price changes will not affect purchases already completed.

5. Personal Finance Application — Important Disclaimers

TEPM, LLC is not a financial advisor, investment advisor, broker-dealer, or any licensed financial services provider. The Personal Finance Application is an organizational and calculation tool only. Nothing in the application — including projections, charts, calculators, or any output — constitutes financial advice. All results reflect data you enter, not recommendations by TEPM, LLC. Consult a licensed financial advisor before making any investment or retirement decisions.

5.1 Not a Financial Advisor

TEPM, LLC IS NOT A FINANCIAL ADVISOR, INVESTMENT ADVISOR, BROKER-DEALER, BANK, INSURANCE COMPANY, OR ANY OTHER TYPE OF LICENSED FINANCIAL SERVICES PROVIDER. THE PERSONAL FINANCE APPLICATION IS PROVIDED SOLELY AS AN ORGANIZATIONAL AND INFORMATIONAL TOOL TO HELP YOU TRACK, CATEGORIZE, AND VISUALIZE YOUR OWN FINANCIAL DATA.

5.2 No Financial Advice

Nothing contained within the Personal Finance Application, including any calculations, projections, summaries, suggestions, reports, insights, or other output, constitutes financial advice, investment advice, tax advice, legal advice, insurance advice, or any other form of professional financial guidance. All content and features are provided for general informational and organizational purposes only.

5.3 Consult a Professional

You should always consult with a qualified and licensed financial advisor, investment professional, certified public accountant, tax attorney, or other appropriate licensed professional before making any financial decisions, including but not limited to:

  • Investment decisions
  • Retirement planning
  • Debt management strategies
  • Tax planning
  • Estate planning
  • Insurance coverage decisions
  • Major purchase or expenditure decisions

5.4 No Guarantees or Representations

We make no representations, warranties, or guarantees regarding the accuracy, completeness, timeliness, suitability, or reliability of any financial data, calculations, projections, or other output generated by the Personal Finance Application. Projections and forecasts are based solely on data you input and are inherently uncertain. Past financial patterns are not indicative of future results.

5.5 Third-Party Financial Data

If the Personal Finance Application connects to or integrates with third-party financial institutions or data providers, we are not responsible for the accuracy, completeness, or timeliness of data provided by those third parties. You are solely responsible for verifying the accuracy of all financial data within the application.

5.6 Regulatory Compliance

TEPM, LLC is not registered with the U.S. Securities and Exchange Commission (SEC), the Financial Industry Regulatory Authority (FINRA), or any state securities regulator as an investment adviser or broker-dealer. Our Services do not constitute a solicitation or offer to buy or sell any security, financial instrument, or investment product.

6. Business/Project Management Application

6.1 Scope of Use

The Business/Project Management Application is provided as a productivity and organizational tool. It is intended to assist with managing projects, tasks, timelines, team collaboration, and business workflows. It does not constitute legal, accounting, compliance, or business advisory services.

6.2 Data Accuracy

You are solely responsible for the accuracy, integrity, and legality of all data you input into the Business/Project Management Application. We are not responsible for any decisions made based on data within the application.

7. Acceptable Use Policy

You agree not to use the Services to:

  • Violate any applicable federal, state, local, or international law or regulation
  • Transmit any material that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity
  • Attempt to gain unauthorized access to any portion of the Services or any other system or network
  • Introduce viruses, Trojan horses, worms, or other malicious code
  • Interfere with or disrupt the integrity or performance of the Services
  • Scrape, harvest, or collect information from the Services without our express written consent
  • Use the Services for any commercial purpose not expressly authorized by us
  • Attempt to reverse-engineer, decompile, or disassemble any aspect of the Services

8. Intellectual Property

8.1 Our Property

The Services, including all software, designs, text, graphics, interfaces, logos, and other content, are owned by TEPM, LLC and are protected by copyright, trademark, patent, and other intellectual property laws. These Terms do not grant you any right, title, or interest in or to the Services, except for the limited license granted herein.

8.2 Limited License

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business purposes.

8.3 Your Content

You retain ownership of all data and content you submit to the Services. By submitting content, you grant us a limited, non-exclusive, royalty-free license to use, store, and process that content solely as necessary to provide the Services.

9. Disclaimers of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE SERVICE. WE DO NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR THAT ANY ERRORS WILL BE CORRECTED.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TEPM, LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL OUR AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE TOTAL AMOUNTS PAID BY YOU TO TEPM, LLC IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless TEPM, LLC, its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights, including any intellectual property or privacy rights; or (d) any data or content you submit to the Services.

12. Termination

We reserve the right to suspend or terminate your access to the Services at any time, with or without cause and with or without notice, including for violation of these Terms. Upon termination, your right to use the Services will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.

13.2 Dispute Resolution

Any dispute arising out of or relating to these Terms or the Services shall first be submitted to informal negotiation. If not resolved within 30 days, disputes shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, with proceedings conducted in Houston, Texas. TEPM, LLC will pay all AAA filing fees for claims under $10,000. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction.

13.3 Class Action Waiver

YOU AND TEPM, LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and, where appropriate, notifying you via email. Your continued use of the Services after the effective date of any modification constitutes your acceptance of the revised Terms.

15. Miscellaneous

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and TEPM, LLC regarding the Services.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
  • Waiver: Our failure to enforce any provision of these Terms shall not be construed as a waiver of that provision.
  • Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
  • No Third-Party Beneficiaries: These Terms do not confer any rights on any third party.
